Terms of Service

1. Agreement to these Terms

These Terms of Service (the “Terms”) are a binding agreement between you and PowerID, Inc., a Delaware corporation (“PowerID,” “we,” “us”). They govern your access to and use of the PowerID website, applications, data, maps, analyses, reports, and related services (collectively, the “Service”). By accessing or using the Service, or by submitting a beta or partner application, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to it.

2. The Service; not professional advice

PowerID provides screening-level intelligence about US power infrastructure and candidate sites for energy projects. The Service is an analytical tool. It is not engineering, legal, investment, tax, permitting, environmental, or land-use advice, and it does not replace title searches, surveys, interconnection studies, environmental reviews, or the judgment of qualified professionals. You are solely responsible for decisions made using the Service, including capital and land-control decisions.

Data presented in the Service (including plant characteristics, interconnection queue positions, prices, parcel and environmental layers) is aggregated from public and licensed third-party sources, may be approximate, incomplete, delayed, or out of date, and is provided for informational purposes only.

3. Beta program

The Service is currently offered as a private beta. Beta features are provided “as is,” may change, break, or be discontinued at any time without notice, and may be subject to usage limits. We may suspend or revoke beta access at our discretion. If you provide feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

4. Accounts and eligibility

You must be at least 18 years old and capable of forming a binding contract. You are responsible for your account credentials and all activity under your account, and you agree to keep your registration information accurate. Notify us promptly at legal@power.id of any unauthorized use.

5. Acceptable use

You agree that you will not, and will not permit or assist any third party to:

  • Reverse engineer or extract our technology. Decompile, disassemble, decrypt, reverse engineer, or otherwise attempt to derive the source code, architecture, algorithms, models, model weights, prompts, system instructions, or non-public APIs of the Service or of any artificial-intelligence system used in providing it, except to the extent such restriction is prohibited by applicable law.
  • Probe or misuse the AI features. Use the Service's analytical or conversational features to develop, train, benchmark, or improve a competing product or model; attempt to extract training data, system prompts, or configuration from any AI system used in the Service; or circumvent safety or usage controls.
  • Scrape or bulk-extract data. Crawl, scrape, harvest, or systematically download content or data from the Service, or use robots, spiders, or offline readers, except via interfaces and limits we expressly provide. Do not resell, redistribute, sublicense, or publicly re-host Service data.
  • Break or burden the Service. Interfere with or disrupt the Service, bypass authentication, rate limits, or access controls, share credentials, or access another user's data without authorization.
  • Use the Service unlawfully. Violate any applicable law or third-party right, or upload content you lack the rights to provide.

We may investigate suspected violations and suspend or terminate access for conduct that violates this Section.

6. Your data

You retain all rights in data and content you upload to the Service (“Customer Data”). You grant us a non-exclusive, worldwide license to host, process, transmit, and display Customer Data solely to provide and improve the Service and as otherwise described in our Privacy Policy. You represent that you have all rights necessary to grant this license.

7. Our intellectual property

The Service — including software, design, data compilations, layer catalogs, analyses, documentation, and trademarks — is owned by PowerID or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during your authorized access. No other rights are granted. Third-party data made available through the Service remains subject to its providers' license terms.

8. Third-party services and AI

The Service relies on third-party providers, including cloud hosting, database, mapping and geocoding services, public data sources, and a third-party AI service provider that powers certain analytical and conversational features. We do not control these providers, and your use of features they enable may be subject to reasonable pass-through requirements. Map data © OpenStreetMap contributors, © CARTO.

AI-generated output may be inaccurate or incomplete despite our provenance controls. You must independently verify AI-generated figures, boundaries, and narratives before relying on them.

9. Disclaimer of warranties

THE SERVICE AND ALL DATA AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POWERID AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (US$100) OR THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

11. Indemnification

You will defend, indemnify, and hold harmless PowerID from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of law or third-party rights.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time for breach of these Terms, risk to the Service or other users, or discontinuation of the beta. Sections that by their nature should survive (including 5–13) survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Service is the state and federal courts located in Delaware, and each party consents to personal jurisdiction there. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL TO THE EXTENT PERMITTED BY LAW.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date, and continued use of the Service after changes take effect constitutes acceptance.
